17.2 Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Site will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in the jurisdiction where In the Wake is registered.

17.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and In the Wake individually. To the full extent permitted by law:

• No arbitration or proceeding shall be joined with any other
• There is no right or authority for any dispute to be arbitrated on a class-action basis
• There is no right or authority for any dispute to be brought in a purported representative capacity

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

19. Waiver

No waiver by In the Wake of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by In the Wake to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and In the Wake concerning the Site and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Site.

21. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

22. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
